Netron NAVI 2.0 Intelligent Knowledge Management System Terms of Service

Welcome to the Netron NAVI 2.0 Intelligent Knowledge Management System (the "Service"), provided by Netron Information Technology Co., Ltd. ("we," "us," or "Netron Information").

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Netron Information. By registering for, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

1. Service Description

The Service is an intelligent knowledge management system. To provide AI analysis features, this Service requires you to authorize access to your designated third-party service accounts (such as Google and Microsoft) to read and process data stored therein (e.g., Gmail/Outlook emails) and provide you with features like data summarization, categorization, and analysis.

2. Account Registration and Security

• You must register for an account to use the Service. You agree to provide accurate, current, and complete information during the registration process.
• You are responsible for safeguarding your account password and login credentials. You are fully responsible for all activities that occur under your account.
• You agree to notify us immediately of any unauthorized use of your account.

3. Third-Party Account Authorization

• The core functionality of the Service relies on your authorization, via mechanisms like OAuth, for us to access your Google, Microsoft, or other third-party accounts.
• The scope of access you grant us and how we handle that data are governed by our Privacy Policy.
• You understand and agree that you must comply with the terms of service of the third-party services you link (e.g., Google, Microsoft). This Service is not responsible for any actions or losses arising from your use of those third-party services.
• You may revoke authorization for the Service at any time via your third-party account's settings page (e.g., Google or Microsoft's account permissions page). Revoking authorization will result in the related functions of the Service becoming un-usable.

4. User Responsibilities and Conduct

You agree not to use the Service for any unlawful purpose or in any way that violates these Terms. You agree not to:

• Upload, transmit, or store any content that is unlawful, infringing, defamatory, discriminatory, or harmful.
• Attempt to reverse engineer, decompile, crack, or otherwise derive the source code of the Service.
• Interfere with or disrupt the operation of the Service or the servers or networks connected to it.
• Use the Service to send spam, abusive messages, or any unsolicited commercial communications.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

5. Intellectual Property Rights

• Rights to the Service: Netron Information owns all rights, title, and interest in and to the Service, including but not limited to the software, AI models, user interface, brand names (Netron NAVI 2.0), and all related intellectual property rights. These Terms do not grant you any right to use our trademarks or logos.
• Your Data: You retain all ownership rights to the original data (e.g., your emails) that you access or process through the Service.
• Limited License: You hereby grant us a worldwide, non-exclusive, royalty-free, limited license to use, process, reproduce, modify, and display Your Data solely for the purpose of providing the Service to you (e.g., performing AI analysis, generating summaries, displaying content). This license terminates when you cease using the Service and delete your account.

6. Disclaimers and Limitation of Liability

• Service Provided "As-Is": The Service is provided "as is" and "as available." We do not warrant that the Service will be uninterrupted, timely, secure, accurate, or error-free.
• AI Content Disclaimer: You understand that the Service uses generative AI technology. Summaries, analyses, or any output generated by the AI may contain errors, inaccuracies, or be incomplete. You should not rely on the AI output as the sole basis for decision-making, and we assume no liability for the accuracy of the AI output.
• Limitation of Liability: To the maximum extent permitted by law, Netron Information Technology, its officers, employees, or agents shall not be liable for any indirect, incidental, special, or consequential damages (including loss of profits or data) arising from your use of (or inability to use) the Service.

7. Suspension and Termination

• Termination by You: You may stop using the Service at any time and may delete your account or revoke third-party authorizations via your account settings.
• Termination by Us: We reserve the right to suspend or terminate your access to the Service at our sole discretion, without prior notice, if we reasonably believe you have violated these Terms.

8. Changes to the Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via the email you provided or by posting a prominent notice on the Service. Your continued use of the Service after such changes become effective constitutes your agreement to the revised Terms.

9. Governing Law and Jurisdiction

These Terms and any disputes arising from them shall be governed by the laws of Taiwan (R.O.C.), and shall be subject to the exclusive jurisdiction of the Taipei District Court, Taiwan, as the court of first instance.
